§ 1 Scope
These General Terms and Conditions (T&Cs) apply to all contracts between Venture Youngs GmbH and its clients unless otherwise expressly agreed. The client's conflicting terms and conditions are not recognised.
§ 2 Scope of services
The specific scope of services follows from the respective quote or contract. Changes require text form.
§ 3 Remuneration and payment
Remuneration is based on time and materials or agreed fixed price plus VAT. Invoices are payable within 14 days of the invoice date without deduction.
§ 4 Client cooperation
The client provides all information and materials required for service delivery in good time. Delays caused by missing cooperation are at the client's risk.
§ 5 Usage rights
Upon full payment of the agreed remuneration the client receives all usage rights to the work required for the agreed purpose. Source code is handed over on request.
§ 6 Confidentiality
Both parties undertake to keep all confidential information obtained in the course of cooperation secret and to use it only for the agreed purpose.
§ 7 Liability
We are liable without limitation for intent and gross negligence. For slight negligence we are liable only in the case of breach of essential contractual duties, limited to the foreseeable damage typical of the contract.
§ 8 Governing law and jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Berlin for all disputes if the client is a merchant, legal entity under public law or special fund under public law.
